We know that you care how information about you and your company is used and shared and we are committed to protecting your privacy. This Privacy Policy sets forth our policy with respect to the gathering, use, and dissemination of information we obtain from you and your company through the services located at www.liaison.com (the Exchange).

As used in the Privacy Policy and in addition to the other terms defined in this Privacy Policy, the following terms have the indicated meanings -- "Trading Partner" means any person or entity that applies to be and/or becomes a participant in the Exchange, regardless of whether or not the applicant's registration to use the Exchange (the "Registration") is authorized by Liaison; "Authorized User" means a Trading Partner or an individual who (a) has been appointed by a Trading Partner to transact business on the Exchange, and (b) is an employee and/or authorized contractor under a Trading Partner's control, a subsidiary or affiliate under a Trading Partner's control or the employee or authorized contractor of a subsidiary or affiliate under a Trading Partner's control; "Visitor" means a person other than an Authorized User who accesses that portion of the Exchange that is accessible without entering a username and password; "we," "us," "our" and "Liaison" means Liaison Technologies, Inc.; "you" and "your" means an Authorized User or a Visitor, as applicable; and "Customer Information" means individually or collectively, the Registration Information, the Transaction Information, the Tracking Information, Cookie data, and any other information you provide to us.

1. What information do we collect and how do we use it?
A. Registration Information. In order to become an Authorized User on the Exchange, you must first register and submit to Liaison contact information and certain other information about you and your business (collectively, "Registration Information"). We use the Registration Information to communicate with Authorized Users: (i) new and modified services and features offered by the Exchange and other business; (ii) special offers made available by the Exchange and other businesses; (iii) your account profile and history; and (iv) specific transactions in which you are participating.

B. Transaction Information. Authorized Users may use the Exchange to communicate and exchange information with other Authorized Users to facilitate and perform transactions between them (Authorized User transaction information is collectively referred to in this Privacy Policy as "Transaction Information"). Transaction Information will include, without limitation, information submitted to the Exchange. We will use your Transaction Information only for Liaison' internal purposes, to facilitate your transactions using the Exchange, and to develop and distribute to third parties Aggregate Data (as defined below). If you provide us credit information, then you authorize us to disclose this credit information to other Authorized Users with whom you engage in transactions using the Exchange.

C. Tracking Information. When you access the Exchange, we capture, record and retain general data about your use of the Exchange including, without limitation, your domain name, your Internet protocol (IP) address, the name and location of the web page from which you entered the Exchange, the locations you visit within the Exchange and the amount of time you spend on each page of the Exchange (collectively, "Tracking Information"). We use Tracking Information to help diagnose problems with our server and to administer the Exchange and Exchange services we provide you; to determine the demographics of Authorized Users, and to develop and distribute to third parties Aggregate Data (as defined below).

D. Cookies. "Cookies" are pieces of data sent from a Web server to a Web browser that enable a Web server to identify users that visit a site hosted by the server. We use Cookies to identify Authorized Users and Visitors to the Exchange so that we can provide you more customized information and services. At your discretion, you may configure your Web browser not to accept cookies from the Exchange. However, if you do not accept cookies from the Exchange, you may lose access to the Exchange or experience decreased performance of the Exchange.

E. Login Identification/Passwords. Liaison requires you to provide us with a login identification and a password, which we will use to verify your identity and for our internal use in maintaining your account. We can also disclose such information to the Trading Partner that authorizes your use at any time.

F. Other Information. As a Visitor or Authorized User, you may choose to send us a question via e-mail, register for a special service, respond to questionnaires or surveys or otherwise communicate with us. We use this information to communicate with you and to enhance the Exchange to better meet your needs.

G. Aggregate Data. In addition to any other uses described in this Policy, you agree that we may extract and use information from your Customer Information for the purpose of creating Aggregate Data (as defined below). "Aggregate Data" means: the Customer Information of any number of Authorized Users or Trading Partners in aggregated form only and in a form which does not specifically identify Authorized Users or Trading Partners or specific transactions on the Exchange; information from you and/or Visitors that is not intended to disclose any personally identifiable information about individual users, even if it is possible for some to guess what individuals may have been involved; and/or any other data collected, retained, stored, or accumulated through the use of the Exchange by Authorized Users and Trading Partners.

You agree to allow us, for any internal and/or commercial purposes, to use, develop, analyze, exploit, combine, and extract Aggregate Data, and to disclose and publish Aggregate Data to any party through any means, including without limitation marketing, advertising, or creating and selling information products.

2. Does Liaison share your Customer Information? Information about our customers is an important part of our business, and we are not in the business of selling it to others. We share Customer Information only with the affiliates that we control and as described below:

Complementary Service Providers: We may work with businesses that we do not control, such as other exchanges and service providers that expand the services we are able to offer you on the Exchange. You can tell when other exchanges or exchange service providers are involved in the Exchange services and your transactions. If you choose to use these third party services offered through the Exchange, then you authorize us to disclose your Customer Information to the provider of these third party services.

Trading partners: Your Transaction Information for a transaction facilitated by the Exchange can be disclosed only to the Authorized Users who are parties to that transaction, subject to any transaction and offering rules applicable to that transaction.

Agents and service providers: We engage other businesses and individuals to assist us with offering you the Exchange services which may include by way of example and not limitation (i) the collection, storage, processing and management of your Customer Information; and (ii) the correction of technical problems with the Exchange. These businesses and individuals will only have access to your Customer Information to the extent necessary to perform their obligations to us.

Promotional Offers: We may use your Registration Information and your responses to questionnaires and surveys to communicate: (i) new and modified services and features offered by the Exchange and other businesses; and (ii) special offers made available by the Exchange and other businesses (collectively, the "Unsolicited Marketing Offers"). We may share your Registration Information and responses to questionnaires and surveys with other business who offer products and services that are complementary to the Exchange services. If you do not want us to share this information with these businesses and if you do not want to receive Unsolicited Marketing Offers, then you should contact us according to Section 7 and request to "opt out" from receiving Unsolicited Marketing Offers. Upon receipt and processing of an opt out request, we will not send you further Unsolicited Marketing Offers and we will request other businesses that we may have previously provided your Registration Information to do the same.

Business Transfers: We may sell some or all of our assets in connection with a reorganization or sale of our business. Your Customer Information could be a part of these transferred assets.

Protection of the Exchange and others: We will release your Customer Information when we believe release is appropriate (i) to comply with laws or regulations; (ii) in response to judicial process; (iii) for the enforcement of any agreement we may have with you; or (iv) for the protection of rights, property, or safety of Liaison or others.

With your consent: Other than as set out above, you will receive a notice when your Customer Information might be sent to third parties, and you will have an opportunity not to share this information.

3. What security measures are taken on the Exchange? We have taken precautions to protect the Exchange data and information under our control from misuse, loss, or alteration. Our security measures include industry standard technology and equipment to help protect your Customer Information. Unfortunately, no system can ensure complete security and you should take steps to protect your information and transmissions. You must decide the security measures that are appropriate for you; however, common examples are keeping your login and password secure and making sure you completely log out when you have finished using the Exchange. 4. How do you access and correct your information? You can access your Registration Information, Transaction Information, and other appropriate information identifiable to you that are collected by the Exchange by contacting us in accordance with Section 7 below. If you believe there are factual errors in such information, you may contact us in accordance with Section 7 and specify the alleged errors. We will take reasonable efforts to verify and correct any factual errors within a reasonable time.

5. What if our policy changes? We will post all changes to our Privacy Policy here so you may always become aware of what information we collect, use and disclose. If at any point we decide to use or disclose your Customer Information in a manner different from that stated at the time it was collected, we will notify you by way of an e-mail or a notice posted on the Exchange. Your use of the Exchange after such a notice is posted is deemed to be acceptance of the revised Privacy Policy.

6. How long can we store your information? We may store your information indefinitely for our business records and as otherwise provided in this Privacy Policy.
